These Terms of Use constitute a legal agreement between the store owner or merchant (“Merchant”, “You”, “Your”) and Edsync, a division of Edsync (“Company”, “we”, “us”, or “our”). These Terms govern your access to and use of www.edsynctech.com and the Edsync mobile application, including all content, functionality, products, programs, and services offered through the Subscription Platform.

By accessing or using the Subscription Platform, or by clicking to accept or agree to these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy (https://edsynctech.com/privacy-policy), which is incorporated herein by reference. If you do not agree, you must not access or use the Subscription Platform.

The Subscription Platform is intended for users who are at least 18 years of age. By using the platform, you represent and warrant that you meet this requirement.

Definitions

Access Credentials
Any username, password, PIN, security token, or other method used to verify identity and access the platform.

Action
Any claim, demand, lawsuit, arbitration, investigation, or legal proceeding of any kind.

Affiliate
Any entity that directly or indirectly controls, is controlled by, or is under common control with a party.

Authorized User
Employees, contractors, or agents authorized by the Merchant to use the platform.

Merchant Data
All data, content, and information provided or collected through the platform by the Merchant or Authorized Users.

Merchant Systems
Merchant’s IT infrastructure, including hardware, software, and networks.

Harmful Code
Any virus, malware, or harmful software intended to disrupt or damage systems or data.

Personal Information
Any data that identifies or can identify an individual, as defined under applicable data protection laws.

Subscription Platform
Edsync’s software-as-a-service platform, including applications, programs, and services provided to Merchants.

Use Restrictions

The Merchant shall not, and shall not permit any third party to:

Copy, modify, or create derivative works of the platform

Sell, license, distribute, or transfer access to the platform

Reverse engineer, decompile, or attempt to access source code

Use the platform in any unlawful or unauthorized manner

Access is granted only as explicitly permitted under these Terms.

Service Usage and Data

The Merchant is responsible for all activity conducted through their account and for maintaining the confidentiality of their Access Credentials.

The Company may collect, store, and process Merchant Data solely for the purpose of providing and improving the Subscription Platform.

Fees and Payment

Merchant agrees to pay all applicable fees as per the selected subscription plan.

Fees may be updated at any time with prior notice

Payments will be processed via third-party payment providers

Merchant authorizes the collection and processing of payment details

No Deductions or Setoffs:
All payments must be made in full without any deductions, offsets, or counterclaims.

Termination

The Company reserves the right to suspend or terminate access to the platform at its sole discretion if the Merchant violates these Terms.

Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from the use of the platform.

Changes to Terms

We may update these Terms at any time. Continued use of the platform constitutes acceptance of the revised Terms.
